1. Introduction

Welcome to DiCerVe.

These Terms and Conditions (“Terms”) govern access to and use of the DiCerVe website, platform, applications and services (“Platform”).

By accessing, browsing, registering on or using the Platform, you agree to be legally bound by these Terms.

If you do not agree to these Terms, you must discontinue use of the Platform immediately.

2. About DiCerVe

DiCerVe is a business verification platform that enables organisations and users to:

  • Verify employee credentials

  • Verify vendors and suppliers

  • Generate verifiable certificates

  • Maintain verification records

  • Access related verification and business services

DiCerVe may introduce additional products, services and features from time to time.

3. Eligibility

By using the Platform, you represent and warrant that:

  • You are legally competent to enter into binding agreements

  • You are at least 18 years of age

  • You possess lawful authority to act on behalf of any organisation represented by you

  • Information submitted by you is accurate and lawful

4. User Registration

Users may be required to:

  • Create an account

  • Submit KYC details

  • Provide business information

  • Verify identity and contact details

DiCerVe reserves the right to approve, reject, suspend or terminate registrations at its sole discretion.

Users are responsible for maintaining confidentiality of login credentials.

5. Nature of Services

DiCerVe provides technology-enabled verification facilitation services.

DiCerVe may facilitate:

  • Employee verification

  • Vendor verification

  • Certificate issuance and authentication

  • Business validation services

  • Related verification solutions

DiCerVe does not guarantee employment suitability, business success, creditworthiness or legal compliance of any verified party.

Verification results are based on information available at the relevant time.

6. User Obligations

Users agree that they shall:

  • Provide accurate and truthful information

  • Use the Platform only for lawful purposes

  • Not misuse verification services

  • Not upload false, fraudulent or misleading documents

  • Obtain necessary consent before submitting third-party information

  • Maintain confidentiality of account credentials

  • Comply with applicable laws and regulations

Users shall be solely responsible for all activities conducted through their accounts.

7. Consent for Submission of Information

Users submitting employee, vendor or third-party data represent and warrant that:

  • Necessary consent has been obtained

  • Submission is lawful

  • Submission does not violate privacy rights, confidentiality obligations or applicable laws

DiCerVe shall not be responsible for unauthorized or unlawful submissions made by users.

8. Fees and Payments

Users agree to pay applicable:

  • Registration fees

  • Setup fees

  • Subscription fees

  • Verification charges

  • Service fees

  • Applicable taxes

Payments made through the Platform are generally non-refundable unless expressly approved by DiCerVe.

DiCerVe reserves the right to modify pricing and fee structures at any time.

9. Payment Processing

Payments may be processed through third-party payment gateway providers.

Users agree to comply with applicable payment provider terms.

DiCerVe shall not be liable for failures, delays or security breaches attributable to third-party payment systems.

10. Independent Contractor Network

DiCerVe may operate through independent contractors including:

  • Marketing Team Leads

  • Marketing Agents

  • Sales Facilitators

  • Referral Partners

Such persons are independent contractors and not employees of DiCerVe.

DiCerVe shall not be liable for personal representations, unauthorized commitments or independent acts of such contractors outside approved operational policies.

11. Intellectual Property Rights

All intellectual property relating to the Platform including:

  • Software

  • Logos

  • Branding

  • Content

  • Designs

  • Databases

  • Documents

  • Workflows

  • Technology

shall remain the exclusive property of DiCerVe or its licensors.

Users shall not:

  • Copy

  • Reverse engineer

  • Modify

  • Reproduce

  • Distribute

  • Commercially exploit

any part of the Platform without prior written permission.

12. Confidentiality

Users agree to maintain confidentiality of:

  • Verification records

  • Business information

  • Platform processes

  • User data

  • Commercial information

Unauthorized disclosure or misuse may result in termination and legal action.

13. Data Privacy

Use of the Platform is also governed by the DiCerVe Privacy Policy.

Users acknowledge and consent to collection, processing and storage of data in accordance with the Privacy Policy.

14. Platform Availability

DiCerVe shall endeavor to maintain Platform availability but does not guarantee uninterrupted or error-free operation.

Platform access may be interrupted due to:

  • Maintenance

  • Upgrades

  • Technical failures

  • Cyber incidents

  • Third-party service disruptions

  • Force majeure events

15. Verification Limitations

Users acknowledge that:

  • Verification outcomes depend on available information

  • Third-party databases and records may contain inaccuracies

  • Some information may not be independently verifiable

  • Verification does not constitute legal certification or guarantee

Users must exercise independent judgment before making decisions.

16. Prohibited Activities

Users shall not:

  • Use the Platform for illegal activities

  • Submit forged documents

  • Attempt unauthorized access

  • Interfere with Platform operations

  • Use automated scraping tools

  • Spread malware or malicious code

  • Misrepresent identity or authority

  • Use the Platform for discriminatory or unlawful purposes

17. Suspension and Termination

DiCerVe reserves the right to suspend, restrict or terminate accounts without prior notice for:

  • Violation of Terms

  • Fraudulent activities

  • Non-payment

  • Misuse of services

  • Legal or regulatory concerns

  • Security risks

DiCerVe may also take appropriate legal action where necessary.

18. Limitation of Liability

To the maximum extent permitted by law, DiCerVe shall not be liable for:

  • Indirect losses

  • Consequential damages

  • Loss of profits

  • Business interruption

  • Data loss

  • Reputational damages

  • Reliance on verification results

DiCerVe’s aggregate liability shall not exceed the total amount paid by the user to DiCerVe for the specific service giving rise to the claim.

19. Indemnity

Users agree to indemnify and hold harmless DiCerVe, its directors, officers, employees, contractors and affiliates against any claims, liabilities, damages, losses or expenses arising from:

  • Violation of these Terms

  • Fraudulent or unlawful conduct

  • Unauthorized submission of data

  • Misuse of the Platform

  • Infringement of third-party rights

  • Breach of applicable laws

20. Anti-Fraud and Compliance

DiCerVe maintains strict anti-fraud policies.

Any attempt to:

  • Manipulate verification results

  • Submit false information

  • Engage in deceptive practices

  • Misuse commissions or referral systems

may result in immediate suspension, reporting to authorities and legal proceedings.

21. Marketing and Communications

Users may receive:

  • Operational notifications

  • Service updates

  • Promotional communications

  • Training information

  • Platform announcements

Users may opt out of promotional communications where permitted.

22. Third-Party Services

The Platform may integrate with or link to third-party services.

DiCerVe is not responsible for:

  • Third-party content

  • External websites

  • Third-party policies

  • External service availability

Users access such services at their own risk.

23. Force Majeure

DiCerVe shall not be liable for delays or failures caused by events beyond reasonable control including:

  • Natural disasters

  • War

  • Government restrictions

  • Internet failures

  • Cyber attacks

  • Power outages

  • Pandemic situations

  • Labor disputes

24. Governing Law and Jurisdiction

These Terms shall be governed by the laws of India.

Any disputes arising from these Terms shall be subject to the jurisdiction of competent courts having jurisdiction over the registered office location of DiCerVe.

25. Dispute Resolution and Arbitration

In the event of disputes:

  • Parties shall first attempt amicable resolution

  • Failing settlement, disputes may be referred to arbitration

  • Arbitration proceedings shall be conducted in accordance with applicable Indian laws

  • Venue and seat of arbitration shall be determined by DiCerVe unless otherwise agreed

26. Modification of Terms

DiCerVe reserves the right to modify these Terms at any time.

Updated Terms shall become effective upon publication on the Platform.

Continued use of the Platform constitutes acceptance of revised Terms.

27. Severability

If any provision of these Terms is held invalid or unenforceable, remaining provisions shall continue in full force and effect.

28. Entire Agreement

These Terms together with the Privacy Policy and related policies constitute the complete agreement between users and DiCerVe regarding use of the Platform.
